1Identification of the Provider
Olvio is an AI shopping agent for Shopify product pages. The Olvio service is published and operated by:

In these Terms, "Olvio", "we" and "our" refer to Topicimes acting as the publisher of the Olvio service. "Merchant", "you" and "your" refer to the owner or staff of a Shopify store who installs the Olvio application on a Shopify store and accepts these Terms.
2Acceptance of these Terms
By installing the Olvio application from the Shopify App Store, by selecting a subscription plan or by using the Olvio service in any other manner, you irrevocably accept these Terms of Service in their entirety. If you do not agree with any part of these Terms, you must not install or use the Olvio service.
These Terms constitute a binding agreement between Topicimes and the Merchant. They prevail over any conflicting document, including any general purchase terms of the Merchant, unless otherwise expressly agreed in writing by Topicimes.
3Definitions
- Service — the Olvio Shopify application and all associated features, including the merchant admin, the storefront widget, the AI agent, the analytics dashboard, the help center and the support channels.
- Subscription — the recurring billing relationship between the Merchant and Topicimes, processed through Shopify Billing.
- Plan — one of the public tiers (Starter, Growth, Scale) or a negotiated Custom tier, defining feature access and quotas.
- Trial Period — the 14-day free evaluation period granted at the Merchant's first Subscription, after which paid billing begins.
- AI Provider — Anthropic, the third-party provider of large language models used to power the AI's responses, accessed through the Merchant's own Anthropic API key.
- Shopper — a visitor to the Merchant's storefront who may interact with the Olvio widget. Shoppers are not parties to these Terms.
- Privacy Policy — the Olvio Privacy Policy, available at olvio.ai/privacy, which forms an integral part of this agreement and includes the data-processing clauses required by article 28 of the GDPR.
4Description of the Service
Olvio is a SaaS application that adds an AI-powered shopping agent to Shopify product pages. The Service includes:
- Merchant admin — integrated into the Shopify dashboard to configure the AI, customize the widget, review conversations and manage the Subscription.
- Storefront widget — delivered via a Shopify Theme App Extension, displayed on product pages where the Merchant has placed the block.
- Semantic search — real-time retrieval over the Merchant's product catalog and uploaded knowledge base, used to ground the AI's answers.
- Conversion analytics — matching Shopper conversations to subsequent Shopify orders, based on a browser-scoped anonymous session identifier.
The Service is provided exclusively in SaaS mode, hosted on Cloudflare infrastructure with primary data storage located in the Western Europe region. The Service is provided in English; storefront widget localization in additional languages is available from the Scale plan upward.
5Account and Access
5.1Eligibility
The Service is intended exclusively for professional Merchants operating an active Shopify store. By accepting these Terms, the Merchant represents that they are at least 18 years old, have full legal capacity to enter into a binding agreement, and are acting in a professional capacity in connection with their Shopify store.
5.2Installation
Access to the Service is provisioned via the Shopify App Store. The Merchant authorizes Topicimes to receive an OAuth access token from Shopify and to call the Shopify Admin API on their behalf, within the scopes disclosed at installation (read_products, read_orders, read_themes, read_locales).
5.3Credentials
The Merchant is responsible for the security of their Shopify credentials and of any AI Provider API key they connect to Olvio. Olvio encrypts the AI Provider API key at rest using AES-GCM with the store domain bound as additional authenticated data. The encryption key is stored in Cloudflare's secrets vault and is not accessible to Topicimes staff outside the Workers runtime.
6Free Trial Period
Each Merchant is granted a single 14-day free Trial Period, awarded on the very first Subscription created on a given Shopify store. During the Trial Period, the Merchant has full access to all features of the selected Plan, with no billing.
The Trial Period ends automatically on day 15 unless the Merchant cancels before that date. Cancellation during the Trial Period is done from the Shopify admin (Settings → Apps and sales channels → Olvio → Cancel subscription) or by uninstalling the Olvio application.
The Trial Period is granted only once per Shopify store. Any subsequent Subscription on the same store — whether created after a cancellation, after a Plan change, or after a reinstall — is billable as soon as it is approved, with no new Trial Period.
7Subscription Plans and Pricing
Olvio is available under the following public Plans:
- Starter — $49 per month, or $470 per year (a 20% saving). Catalog limit of 1,000 products. 30-day conversation retention.
- Growth — $99 per month, or $950 per year (a 20% saving). Catalog limit of 5,000 products. 90-day conversation retention.
- Scale — $249 per month, or $2,390 per year (a 20% saving). Catalog limit of 25,000 products. 365-day conversation retention. Multilingual widget unlocked.
- Custom — Negotiated Plan for catalogs of more than 25,000 products, custom retention periods, dedicated SLA or specific integrations. Pricing and conditions are defined per merchant in a separate written agreement.
Prices are quoted in U.S. dollars and are exclusive of any applicable taxes, which are added at the rate in force at the time of billing.
Topicimes reserves the right to modify pricing, the scope of features or the structure of the Plans. Any change applicable to an existing active Subscription is communicated to the Merchant at least thirty (30) days in advance, in the merchant admin and to the Merchant's billing email of record. The Merchant may cancel the Subscription before the effective date; continued use of the Service after the effective date constitutes acceptance.
8Billing and Payment
All payments for the public Plans are processed exclusively through Shopify Billing. Topicimes does not collect, store or directly process the Merchant's payment information; this data is processed by Shopify Inc. under Shopify's own terms.
8.1Billing cycle
Monthly Subscriptions are billed every 30 days. Yearly Subscriptions are billed each year. The first charge occurs the day after the Trial Period ends or, if no Trial Period applies, the day the Merchant approves the Subscription on Shopify's confirmation screen.
8.2Plan changes
When the Merchant switches from one Plan to another, or from monthly to yearly cadence (or vice versa), Shopify cancels the previous Subscription and creates a new one. Shopify automatically prorates the difference: unused paid time on the previous Subscription is credited against the first invoice of the new Subscription. The new Subscription does not include a new Trial Period.
8.3Late or failed payments
If a charge is declined, Shopify retries on its own schedule. After repeated failures, Shopify may suspend or cancel the Subscription. Topicimes will treat the Subscription as terminated as soon as Shopify communicates that status, and the Merchant will lose access to paid features until a new Subscription is approved.
8.4Refunds
Subscription fees are non-refundable, except where required by applicable law. The 14-day Trial Period is the primary mechanism by which the Merchant can evaluate the Service without commitment.
8.5Custom Plan billing
Custom Plans are billed outside Shopify Billing, under the conditions defined in the Merchant's individual agreement. Unless otherwise agreed, the default payment terms for Custom Plans are net 30 days from invoice issuance.
9AI Provider Costs (Bring Your Own Key)
Olvio operates on a bring-your-own-key model: the Merchant connects their own Anthropic API key. Each Shopper conversation generated by the Service results in API calls billed directly by Anthropic to the Merchant's account, under Anthropic's own pricing terms. Topicimes does not invoice, does not apply a markup and does not resell Anthropic tokens.
The Merchant is solely responsible for monitoring their usage with the AI Provider and for setting any spending caps available on the AI Provider's platform. Topicimes is not responsible for costs incurred by the Merchant on the AI Provider's account, including those resulting from unexpected traffic, third-party abuse or AI Provider pricing changes.
10Term and Renewal
These Terms take effect on the date the Merchant installs the Olvio application or, if earlier, on the date the Merchant first accepts them. They remain in effect for as long as the Merchant has an active or paused Subscription, or for as long as the Olvio application remains installed on the Merchant's Shopify store, whichever is longer.
Subscriptions renew automatically at the end of each billing cycle (every 30 days for monthly, every 365 days for yearly) until terminated. Termination carries no penalty.
11Cancellation and Termination
11.1Cancellation by the Merchant
The Merchant may terminate their Subscription at any time, with no minimum commitment, from the Shopify admin (Settings → Apps and sales channels → Olvio → Cancel subscription) or by uninstalling the Olvio application. Termination takes effect immediately on Olvio's side; Shopify's own billing rules govern any pro-rated charge or credit.
11.2Termination by Topicimes
Topicimes may suspend or terminate the Service, in whole or for a specific Merchant, at any time and for reasonable cause, including but not limited to:
- Material breach — a material or repeated breach of these Terms by the Merchant.
- Infrastructure risk — use of the Service of a nature that jeopardizes Topicimes' infrastructure, the relationship with the AI Provider or other Merchants.
- Insolvency — the opening of insolvency or similar proceedings against the Merchant.
- Legal obligation — a legal or regulatory obligation requiring suspension.
Where the suspension is not the result of a Merchant breach, Topicimes will provide thirty (30) days' written notice. In all other cases, suspension may be immediate.
11.3Effects of termination
Upon cancellation or termination, the Merchant's plan reverts to trial state, the storefront widget stops responding, and access to the paid features of the merchant admin is removed. Catalog data, conversation history, AI Setup and widget configuration are retained for the 48-hour grace period imposed by Shopify, after which Shopify's shop/redact webhook triggers the full data purge described in the Privacy Policy.
12Merchant Obligations
The Merchant agrees to:
- Comply with applicable rules — these Terms, the Privacy Policy, the Shopify Partner Program Agreement and all applicable laws (in particular consumer protection, GDPR and, where applicable, the EU AI Act).
- Provide lawful content — accurate and lawful catalog content, AI configuration and knowledge base files. The Merchant warrants that they hold all necessary rights to the content provided to Olvio for the purposes of processing.
- Maintain a valid AI key — an adequately funded API key with the chosen AI Provider, for the entire duration of the Subscription.
- Inform about AI usage — inform Shoppers of the use of an AI assistant on their storefront, in accordance with the EU AI Act where applicable. Olvio embeds a permanent AI disclaimer in the widget UI for this purpose.
- Avoid any abusive use — refrain from any use likely to harm Topicimes' reputation, infrastructure or third-party relationships, including spam, fraud, distribution of unlawful content or abusive load testing.
- No reverse engineering — refrain from any reverse engineering, decompilation or attempt to extract the source code of the Service, except to the extent expressly permitted by mandatory law.
- No resale — refrain from reselling, sublicensing or providing the Service to a third party without Topicimes' prior written consent.
13Olvio's Obligations and Service Availability
13.1Obligation of means
Topicimes undertakes to provide the Service with the level of diligence expected of a professional SaaS provider. Topicimes' obligations are obligations of means, not of result, except as otherwise required by French law.
13.2Availability target
Topicimes targets a monthly availability of 99.5% for the public Plans, measured at the merchant admin and storefront widget endpoints, excluding planned maintenance windows announced in advance and excluding force majeure events. No credit or refund is automatically granted for failing to meet this target on the public Plans; service credits may be defined in a Custom Plan agreement.
13.3Maintenance and updates
Topicimes regularly deploys Service updates. Updates are delivered continuously and silently — no Merchant action is required. Topicimes may temporarily suspend access for technical maintenance, with notice in the merchant admin where reasonably practicable.
13.4Third-party dependencies
The Service depends on Shopify, Cloudflare, the chosen AI Provider and Intercom. Topicimes is not responsible for any failure, unavailability or change originating from these third parties, except where such failure could have been avoided by reasonable diligence on the part of Topicimes.
14Data Processing and Privacy
The processing of personal data and Merchant data in connection with the Service is governed by the Olvio Privacy Policy, available at olvio.ai/privacy. The Privacy Policy forms an integral part of these Terms and includes the elements required by article 28 of the GDPR (data processing agreement).
In summary:
- Roles — Topicimes acts as Data Controller for Merchant account data and as Data Processor for Shopper interaction data processed on behalf of the Merchant.
- No Shopper personal data — Olvio does not collect personal data from Shoppers. Conversations are stored under a browser-scoped anonymous session identifier, with no link to an individual person.
- Hosting — primary data storage is located in Cloudflare's Western Europe region.
- Deletion on uninstall — full data deletion is triggered automatically by Shopify's shop/redact webhook 48 hours after uninstallation.
15Intellectual Property
15.1Topicimes' rights
Topicimes retains all intellectual property rights in the Service, including source code, user interface, documentation, trademarks (Olvio, Topicimes) and any associated material. Nothing in these Terms transfers any of these rights to the Merchant.
15.2License granted to the Merchant
For the duration of the Subscription, Topicimes grants the Merchant a personal, non-exclusive, non-transferable, non-sublicensable, worldwide license to use the Service for the operation of their Shopify store, in accordance with these Terms. This license terminates automatically on the date the Subscription ends.
15.3Merchant content
The Merchant retains all rights in their catalog content, knowledge base files and any other content provided to Olvio. The Merchant grants Topicimes a non-exclusive, worldwide license, limited to the duration of the Subscription, to host, process, transmit and reproduce this content solely for the purpose of providing the Service.
15.4Aggregated and anonymous data
Topicimes may use aggregated and fully anonymized usage signals (request volumes, response latencies, feature adoption rates) to improve the Service, in a manner that does not identify any particular Merchant or Shopper.
15.5No AI model training on Merchant data
Topicimes does not use Merchant content, conversation transcripts, catalog data or any other element provided by the Merchant to train artificial intelligence models, whether owned by Topicimes or by a third party.
16Confidentiality
Each party undertakes to treat as confidential any non-public information disclosed by the other party in connection with the Service, including business plans, technical architecture, commercial terms and customer data. Each party undertakes to:
- Limited use — use the confidential information solely for the purpose of performing this agreement.
- Non-disclosure — not disclose the confidential information to any third party without the prior written consent of the disclosing party, except to employees, contractors or Subprocessors bound by equivalent confidentiality obligations.
- Return on termination — return or destroy the confidential information at the end of the contractual relationship, except where retention is required by law.
The confidentiality obligation survives termination of these Terms for a period of three (3) years.
17Liability
17.1Mutual liability
Each party is liable for direct and foreseeable damages caused by a proven breach of these Terms.
17.2Liability cap
To the fullest extent permitted by applicable law, Topicimes' aggregate liability arising out of or related to these Terms, on any legal basis whatsoever (contract, tort, statute or otherwise), is capped at the lower of:
- 12 months of fees — the total amount paid by the Merchant to Topicimes via Shopify Billing in the twelve (12) months preceding the event giving rise to liability; or
- Absolute cap — five thousand euros (EUR 5,000).
17.3Excluded damages
To the fullest extent permitted by applicable law, Topicimes shall not be liable for indirect, incidental, special, consequential or punitive damages, including but not limited to loss of revenue, loss of profit, loss of business opportunity, loss of data, damage to reputation or business interruption, even if Topicimes had been advised of the possibility of such damages.
17.4Mandatory exceptions
The caps and exclusions above do not apply to liabilities that cannot be limited or excluded under applicable law, including fraud, gross negligence, willful misconduct and bodily injury.
17.5Indemnification
The Merchant shall indemnify and hold Topicimes harmless against any third-party claim arising out of (a) Merchant content provided to Olvio, (b) the Merchant's use of the Service in breach of these Terms, applicable law or third-party rights, or (c) the Merchant's interactions with its own Shoppers or with the AI Provider.
18Force Majeure
Neither party shall be liable for any failure or delay in performance caused by a force majeure event within the meaning of article 1218 of the French Civil Code, including but not limited to natural disasters, pandemics, wars, terrorist attacks, acts of public authorities, general internet outages, large-scale cyberattacks or critical failures of an essential third-party provider (Shopify, Cloudflare, AI Provider).
The party affected by the event will notify the other party without delay. If the event lasts for more than thirty (30) consecutive days, either party may terminate these Terms by written notice, without compensation.
19Modifications to these Terms
Topicimes may modify these Terms at any time. Any material modification (change to pricing, scope of liability, governing law or the parties' rights) is communicated to active Merchants in the merchant admin and to the Merchant's billing email at least thirty (30) days before the effective date.
If the Merchant does not accept the modification, they may terminate the Subscription before the effective date. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.
The version in force of these Terms is permanently available at olvio.ai/terms. The "Last updated" date at the top of this document reflects the most recent revision.

Notices to the Merchant are sent to the email address associated with the Shopify store, or displayed in the merchant admin. The Merchant ensures their contact details are kept up to date.
21Governing Law and Jurisdiction
These Terms are governed by French law, without regard to its conflict-of-laws rules.
Any dispute arising out of or in connection with these Terms shall, after a prior good-faith attempt at amicable resolution of at least thirty (30) days from the first written notice, be submitted to the exclusive jurisdiction of the courts within the jurisdiction of the Cour d'appel d'Angers (France), even in the case of an incidental claim, a plurality of defendants or a guarantee claim.
22Miscellaneous
22.1Entire agreement
These Terms, together with the Privacy Policy and any specific agreement signed with Topicimes (in particular for Custom Plans), constitute the entire agreement between the parties with respect to the Service. They supersede any prior communication, proposal or agreement, oral or written.
22.2No waiver
The failure of either party to enforce a right under these Terms does not constitute a waiver of that right or of any other right.
22.3Severability
If any provision of these Terms is held invalid, unlawful or unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect, the invalid provision being replaced by a valid provision reflecting, as closely as possible, the original intent.
22.4Assignment
The Merchant may not assign or transfer their rights and obligations under these Terms without the prior written consent of Topicimes. Topicimes may freely assign these Terms in the context of a merger, acquisition, asset sale or restructuring.
22.5No partnership
These Terms create no partnership, joint venture, agency or employment relationship between the parties. Each party acts as an independent contractor.
22.6Language
These Terms are drafted in English. A French translation may be made available for information purposes; in the event of any discrepancy between the two versions, the English version prevails for B2B Merchants established outside of France, and the French version prevails for B2B Merchants established in France.
